These Terms of Service (“Terms”) govern your access to and use of the websites, communications, and media production services operated by Willow Productions LLC (“Willow Productions,” “we,” “us,” or “our”).
By engaging our services or using our digital properties, you agree to these Terms and any additional agreements or statements of work (“SOW”) we execute with you.
1. Services and payment
Scope: We provide professional video production, post-production, motion design, live or hybrid event coverage, and related creative services as described in a signed estimate, SOW, or service agreement. Those documents control timelines, deliverables, revision rounds, and usage rights unless otherwise stated in writing.
Payment: Fees, deposits, and invoicing schedules are set forth in your agreement. Retainer or recurring work is typically billed in advance of each service period. Late payment may pause work, withhold deliverables, or trigger the termination remedies below.
2. Intellectual property
Except as expressly assigned in writing, Willow Productions LLC retains rights in its pre-existing tools, templates, methods, and proprietary workflows. Finished media and project-specific creative assets are licensed or assigned as stated in your SOW. Client-provided logos, footage, music licenses, and third-party materials remain your responsibility to clear for use.
3. Client responsibilities
You agree to supply timely feedback, approved scripts or talking points, brand guidelines, location access, talent releases, and lawful use of any materials you provide. You are responsible for accuracy of facts in your content and for compliance with platform, broadcast, or venue rules where media will appear.
4. Termination
Either party may terminate an ongoing engagement as set forth in the applicable SOW. We may suspend or terminate services immediately for non-payment, unsafe working conditions, or material breach of these Terms.
Provisions that by their nature should survive—including ownership, confidentiality, disclaimers, indemnity, and limitations of liability—survive termination.
5. Disclaimer of warranties
Our services and deliverables are provided “as is” and “as available” to the extent permitted by law. We disclaim implied warranties where allowed. We do not guarantee specific audience reach, awards, distribution outcomes, or revenue results from creative work.
6. Limitation of liability
To the maximum extent permitted by law, Willow Productions LLC and its team members will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from these Terms or our services, except where such limitation is prohibited by law.
7. Governing law
These Terms and any dispute arising from them or from our services are governed by the laws of the State of Missouri, U.S.A., without regard to conflict-of-law rules, except where mandatory consumer protections apply.
8. Changes
We may update these Terms from time to time. Material changes will be posted on this site with an updated effective date where practical. Continued use of our services after changes constitutes acceptance of the revised Terms, except where your signed agreement states otherwise.
